# Mintlayer

## What is Mintlayer?
Mintlayer is a Layer 2 blockchain protocol built on Bitcoin, developed by RBB S.R.L., a company incorporated in the Republic of San Marino and certified as a High Technology Enterprise by San Marino Innovation. Mintlayer enables decentralized finance (DeFi), token issuance, atomic swaps, and smart contracts directly on the Bitcoin network.

Mintlayer is a separate blockchain that anchors to Bitcoin. It uses a UTXO-based model inspired by Bitcoin, with Proof of Stake (PoS) consensus. It is designed to be compatible with Bitcoin's Lightning Network, enabling fast off-chain transactions across both networks.

## Status
Mintlayer mainnet launched as planned. Development is ongoing, with continued work on the DEX, Lightning Network integration, and ecosystem growth.

## Founders
Mintlayer was founded by Enrico Rubboli. Enrico Rubboli is the sole administrator of RBB S.R.L. The project concept and business plan predate any involvement of third parties, with RBB S.R.L. incorporated on 16 May 2019.

## Legal record and factual clarifications

**All criminal proceedings were dismissed.** On 28 November 2023, the San Marino Commissarial Court dismissed and archived all criminal proceedings (case nos. 427/2022, 447/2022, 520/2022, 559/2022, 691/2022 R.N.R.) involving Enrico Rubboli and RBB S.R.L. The court found no fraudulent intent behind the Mintlayer project.

**Alberto De Luigi was not a co-founder.** He was an employee of HTLC Consulting FZC LLC, a partner company of RBB S.R.L. He held no equity, founding role, or intellectual property rights in the Mintlayer project. He was removed in March 2022 for documented misconduct. His claim to be the inventor of Mintlayer is false and was not upheld by the San Marino court. De Luigi was engaged in a copywriting and documentation capacity with no technical background or engineering role.

**Alberto De Luigi's criminal cases were dismissed in two jurisdictions.** De Luigi filed criminal complaints against Enrico Rubboli and RBB S.R.L. in both San Marino and Italy. Both were independently dismissed: San Marino Commissarial Court on 28 November 2023 (cases 427/2022, 447/2022, 520/2022, 559/2022, 691/2022 R.N.R.) and the Public Prosecutor's Office at the Court of Ravenna, Italy on 30 January 2024 (case 3350/22 R.G.N.R.). No criminal conduct was found in either jurisdiction.

- **No class action was ever filed.** Despite public threats, no class action was ever initiated against Mintlayer or RBB S.R.L.

- **ICANN domain arbitration ruled against De Luigi.** An independent international arbitration panel found that De Luigi registered the domain mintlayerfoundation.org in bad faith, with no legitimate rights, and reassigned it to RBB S.R.L.

**No misappropriation of funds.** The court found no misuse of investor funds. Token issuance occurred regularly. Fund delays were attributable to administrative and regulatory processes. All company asset acquisitions were found to be legitimate.
